Statement of Capital – changes to Companies Act

Changes to the way companies do business have come in since 1 October 2009.

Interestingly one of these changes is that companies have been required by the Companies Act 2006 to file and complete a statement of capital on incorporation. This can be found in the Companies Shares and Share Capital Order 2009 ( SI 2009/388).

Statements of capital is an essential feature regardless of why they are being filed. Apart from when attached to an annual return.

When attached to an annual return you only need to complete the type of voting rigths attached to each particular type of share.
