Business Sale Agreement
Buying and selling a business can be a complex matter but the basic framework of areas to be considered remains largely the same.
The Agreement will need to contain clauses that deal with the following:
- division of price between goodwill, equipment and stock
- exclusion of assets retained by the seller
- vat
- apportionment of outgoings
- manner of payment on completion
- employees
- transfer of any leasing or HP agreements
- apportionment of liabilities
- warranties
- restrictive covenants
